1. Acceptance of Terms

By creating an account, accessing, or using the services provided by targo.ai Inc. ("targo", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind such entity.

2. Description of the Service

targo.ai provides a cloud-based software platform that utilizes autonomous artificial intelligence agents to analyze, formulate, execute, and optimize digital marketing campaigns across third-party advertising platforms (such as Google Ads, Meta Ads, TikTok Ads, and search engines).

3. Autonomous Agent Execution & Ad Spend Liability

Our platform offers automated campaign management ("Full Autopilot") and approval-based management ("Co-Pilot"). While targo provides mathematical guardrails, budget caps, and anomaly detection circuit-breakers:

  • Third-Party Ad Costs: All media costs and advertising spend incurred on Google, Meta, TikTok, or other advertising networks are billed directly to you by those respective third-party platforms. targo is not responsible for paying your advertising invoices to third-party ad networks.
  • Budget Configuration: You are responsible for configuring accurate daily budget caps and target limits in your targo dashboard.
  • Autonomy Mode Selection: You maintain sole discretion to operate in Co-Pilot mode (requiring 1-click human approval for all creative and budget shifts) or Full Autopilot mode.

4. Subscription, Fees & Billing

targo.ai is billed as a flat, periodic software subscription (monthly or annual). targo does not charge any percentage cut, fee, or commission on your advertising spend. Subscriptions renew automatically unless canceled prior to the renewal date. All plans include a 14-day free trial period during which you may cancel without charge.

5. Intellectual Property Rights

Your Content: You retain all ownership, copyright, and intellectual property rights in your website content, product catalogs, trademarks, customer lists, and ad creative inputs.

targo Intellectual Property: targo and its licensors retain all rights, title, and interest in and to the platform, including its multi-agent algorithms, code, models, and interfaces.

6. Limitation of Liability

To the maximum extent permitted by applicable law, targo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill resulting from the use or inability to use the platform.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be resolved through binding arbitration in San Francisco, California.
